Articles of Organization & Filing Receipt
A limited liability company is formed by filing Articles of Organization pursuant to Section 203 of the New York State Limited Liability Company Law ("NY LLC Law").
In short, your Articles of Organization is the document that gets filed with the Department of State that officially creates the LLC. The NY LLC Law dictates the information required to be in the Articles of Organization for acceptable filing and to create a valid LLC.
Proof of filing the Articles of Organization comes in the form of a one-page "Filing Receipt" directly from the NY Department of State which we will provide to you as part of the LLC Formation Package.
The NY State Fee for filing the Articles of Organization is currently $200. This fee is already included in the purchase of the LLC Formation Package.
IRS Form SS-4
As part of the LLC Formation package we will complete and file IRS form SS-4 for you.
The IRS Form SS-4 is the Application for an Employer Identification Number (AKA Tax ID Number).
Among other things, an Employer Identification Number is necessary to:
- Hire Employees
- Open a business bank account
- Establish business credit
Operating Agreement
As part of the LLC formation Package we will email you an editable Operating Agreement template in Microsoft word format.
The Operating Agreement in an internal document that you keep and does NOT get filed with the Department of State. It is the governing document of your new LLC that establishes the rights, powers, duties, liabilities and obligations of the members (owners) between themselves and with respect to the LLC.
